Shapoorji Pallonji seeks 3-6 month extension on ₹35 billion bond payment due in September 2026
SP Group in Talks with Lenders on Bond Extension
The Shapoorji Pallonji Group is in talks with lenders to extend a bond payment of ₹35 billion due at the end of September 2026 by three to six months. The bond is a zero-coupon issue issued by Porteast Investment, the group's financing arm.
Refinancing Strategy Amid Tata Sons Clarity
The extension request underscores mounting pressure on the borrower to secure funding, with geopolitical tensions and delays in unlocking value from its Tata Sons Ltd. stake complicating refinancing efforts. However, recent developments have clarified the path forward for the group's largest asset.
The Reserve Bank of India's decision not to relax listing rules for Tata Sons has made the next steps clear. The debt-heavy construction giant has for months pushed for a listing, saying it would unlock value for its 18.4% stake.
The Shapoorji Pallonji Group, the second-largest shareholder in Tata Sons, has backed the holding company's proposed public listing, saying the Reserve Bank of India's latest decision had provided clarity on the regulatory path ahead. On 18 September 2026, Shapoorji Pallonji Group Chairman Shapoor Mistry said the listing should not be viewed as a contest between stakeholders but as an opportunity to strengthen transparency, accountability and governance at Tata Sons.
Broader Debt Refinancing Plan
The infrastructure-focused conglomerate has been meeting investors in Hong Kong and Singapore, and is scheduled to hold virtual calls with US-based investors as part of plans for its debut dollar bond sale of as much as $1 billion. The final size of the offering has yet to be determined and will depend on investor demand.
The Porteast extension request is one of several debt maturity adjustments the construction conglomerate has sought. Bondholders have asked for compensation in exchange for agreeing to delays, such as higher yields, extra collateral, or a fee.
